Terms and Conditions for NodeEngine

Welcome to NodeEngine (“we”, “us”, “our”, “NodeEngine.cloud”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, services, and platforms (collectively, the “Services”) including automation, node control, cloud scaling, infrastructure orchestration, and developer tools as described on our site.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not access or use our Services.


1. Definitions

“User” or “You” means any individual or entity accessing or using the Services.

“Account” means the registration account you create to use certain parts of the Services.

“Content” means all data, text, graphics, imagery, code, software, documentation, configurations, deployment scripts, and other materials made available through or submitted to the Services.


2. Eligibility

You represent and warrant that you are legally capable of entering into binding contracts and are at least 18 years old (or the minimum legal age in your jurisdiction). If you access the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.


3. Account Registration & Security

To use certain features, you must register for an Account and provide accurate, complete, and up-to-date information.

You are responsible for safeguarding your login credentials and for all activity that occurs under your Account.

You agree to notify us immediately through the official support channels made available within the platform if you become aware of any unauthorized use of your Account.

We reserve the right to suspend or terminate Accounts that provide false information or violate these Terms.


4. Use of the Services

NodeEngine grants you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services;
  • Use the Services in any manner that could disrupt, damage, disable, overburden, or impair our infrastructure or interfere with other users;
  • Circumvent security features or access controls;
  • Use the Services for unlawful purposes or in violation of any applicable local, national, or international law or regulation;
  • Deploy malicious software, spam operations, exploit tools, or conduct abusive automated activity through the platform.

We reserve the right to investigate and take appropriate legal action for violations of this section.


5. Service Changes & Updates

We may modify, update, suspend, limit, or discontinue features of the Services at any time without prior notice.

We are not liable for any modification, suspension, or discontinuation of any part of the Services. Continued use of the Services constitutes acceptance of those changes.


6. Fees & Payments

Certain Services may require payment of fees as displayed on the Site or within your Account dashboard.

You agree to pay all applicable fees in accordance with the pricing and billing terms presented at the time of purchase.

Unless otherwise stated:

  • Fees are non-refundable.
  • Subscription services renew automatically unless cancelled before the renewal date.
  • We may change pricing at our discretion, with changes applying to future billing cycles only.

Failure to pay fees when due may result in suspension or termination of Services.


7. Intellectual Property

All intellectual property rights in the Services, including software, systems architecture, designs, text, graphics, logos, branding, and platform functionality, are owned by or licensed to NodeEngine and are protected by applicable intellectual property laws.

You retain ownership of Content you upload or deploy through the Services. However, you grant NodeEngine a worldwide, non-exclusive, royalty-free license to host, process, transmit, and use that Content solely for the purpose of operating and providing the Services.


8. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, process, and protect personal data.

By using the Services, you consent to the collection and use of information as described in the Privacy Policy.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODEENGINE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

NODEENGINE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO NODEENGINE DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT,
  • UNINTERRUPTED OR ERROR-FREE OPERATION,
  • SECURITY OR RELIABILITY OF NODE DEPLOYMENTS.

You acknowledge that cloud, blockchain, and infrastructure environments inherently involve risks, including downtime, protocol changes, and third-party failures.


11. Termination

We may suspend or terminate your access to the Services immediately, without prior notice, if:

  • You violate these Terms;
  • Your use poses a security risk;
  • Required by law or regulatory authority;
  • Payment obligations are not fulfilled.

Upon termination, your right to access the Services ceases immediately. Termination does not relieve you of any outstanding payment obligations.


12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.


13. Changes to Terms

We may revise these Terms from time to time. Updated Terms will be posted on the Site with a new effective date.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
